Details Emerge on FFAI's Robotics Acquisition Aimed at $200 Million Valuation

FFAI's Robotics Business Acquisition

AIxCrypto Holdings Inc. (soon to be known as FF EAI Robotics Ecosystem Inc.) has recently entered into a non-binding agreement with Faraday Future Intelligent Electric Inc. (FFAI) regarding the all-stock acquisition of FFAI's robotics assets, projecting a valuation of approximately $200 million. This transaction positions FFR to become the first Nasdaq-listed pure-play robotics company focused on a full-stack AI ecosystem.

Under this agreement, the share price is set at the lower of $2.246 or the average closing price from the preceding five days. Should the market price fall below this threshold, FFR will issue a special stock dividend to existing shareholders, ensuring that they receive a per-share value of $2.246 upon closing of the deal. This special dividend reflects FFR's commitment to enhancing shareholder value, directly benefiting those who hold shares prior to the completion of this transaction.

On September 30, 2026, a name change to FF EAI Robotics Ecosystem Inc. will take effect, along with a new NASDAQ symbol, FFR. This marks a pivotal shift for FFR as it transitions away from its original cryptocurrency focus to embrace a dedicated robotics strategy, significantly contributing to its five-year ambition to be recognized as one of the top three players in the AI robotics market.

In just under a year, FFAI has successfully launched 24 distinct products across three robotic categories, all receiving necessary FCC certifications. As of August, sales have reached a cumulative total of 552 EAI devices, with the second quarter of 2026 showing an impressive average gross margin of over 30% across robotic products. Cumulative earnings for FFAI's operations have approached $1.52 million, and projections for future growth indicate a clear upward trajectory.

Management forecasts that by the third quarter of 2028, the FFAI robotics business will achieve positive cash flow, with anticipated revenues of about $7.1 million in 2026 climbing to approximately $45.17 million by 2027. Over a five-year span, cumulative revenue is expected to reach $1.98 billion, with a gradual improvement in gross margins from 30.5% in 2027 to 54% in 2030.

The agreement will enable FFR to concentrate on operating a comprehensive robotics ecosystem, which includes research and development, manufacturing, sales, data collection, and operational deployment. Specifically, the company will focus on integrating various elements of its ecosystem, including the EAI Brain and Developer Platform, EAI Devices, Industry Productivity Solutions, and the EAI Data Factory.

Robotics, as outlined by FFR and FFAI, stands as one of the most revolutionary opportunities in the growing Physical AI sector. The operational model allows for a leaner and more efficient business structure compared to traditional manufacturing. This acquisition hopes to create a standalone robotics platform equipped with dedicated capital and strategic direction that could proactively unlock considerable value in the robotics market.

As part of its growth plans, FFR aims to advance its operational capabilities systematically, strategizing to utilize public resources to solidify its new business focus. The transaction is subject to a series of customary closing conditions, including due diligence and requisite approvals from both companies.

Additionally, FFR intends to conduct a management conference call to discuss the strategic implications of this acquisition further, providing insights into its expected financial benefits and long-term vision for sustainable growth in the robotics sector.

In conclusion, if this acquisition proceeds as planned, FFR is poised not only for a transformation in its business model but also for a significant role in the evolution of the robotics industry, substantially enhancing its appeal to investors and stakeholders alike. The road ahead promises growth and innovation as FFR navigates this exciting chapter.
