Scheduled to begin on August 24, 2026, and run until September 23, 2026, the rights offering is unique in that it will not result in the issuance of fractional shares. Shareholders can only subscribe to whole shares, and any excess funds from the offering will be used judiciously, particularly in repurchasing existing debt securities under favorable conditions stipulated in a backstop agreement.
Crucially, this offering is underpinned by a backstop commitment from existing holders of KLX's Senior Secured Floating Rate Cash/PIK Notes, amounting to $94 million. This safety net allows the company to ensure that any unsold shares from the rights offering will be fully accounted for, thus minimizing potential financial risk. These backstop parties will be able to purchase remaining shares using their notes, which will, in effect, enable them to exchange debt for equity, catalyzing a general stabilization of the company’s balance sheet.
The proceeds from the rights offering will primarily serve dual purposes: funding general corporate needs and facilitating debt reduction. Specifically, KLX intends to allocate up to $31 million for operational expenses, while any surplus funds above this figure will directly go towards purchasing senior notes at par value, thus streamlining its capital structure. Additionally, on closing the backstop exchange, KLX plans to amend its existing indenture governing the 2030 notes to enhance financial flexibility.
This collective effort to restructure financial obligations aims to foster a more sustainable operating environment for KLX. Notably, it seeks to reset leverage ratio covenants, adjust incurrence tests for further borrowing, and eliminate capital lease obligations from debt calculations.
