Energy Fuels' Acquisition of Australian Strategic Materials Approved
Energy Fuels Inc., a prominent U.S. producer specializing in uranium and rare earth elements, has reached a significant milestone in its acquisition of the Australian Strategic Materials Limited (ASM). Recently, the shareholders of ASM overwhelmingly voted in favor of the transaction during the Scheme Meetings held in Perth, Australia, marking a crucial step towards the completion of the acquisition.

Shareholder Voting Results
The significance of the shareholder approval cannot be understated. In the Scheme Meetings, approximately 98.23% of the ASM shareholders cast their votes in favor of the Share Scheme, while 83.62% of those present either in person or by proxy supported the motion. Additionally, the Option Scheme received 99.97% backing, underscoring substantial support for the acquisition. Both outcomes exceeded the requisite thresholds for approval, thereby paving the way for the transaction’s progression.
The next step involves ASM formally applying to the Federal Court of Australia for the approval of these Schemes, with a court hearing scheduled for August 18, 2026. Should the court grant approval, the Schemes are expected to become effective on August 19, and the trading of ASM securities on the Australian Securities Exchange will be suspended shortly thereafter.
Building an Integrated Supply Chain
The acquisition aims to integrate various facets of rare earth element production, bringing in ASM's considerable commercial capabilities in rare earth metals and alloys, which will complement Energy Fuels' existing operations at its White Mesa Mill in Utah. This facility, which is the only fully licensed and operational conventional uranium processing plant in the country, is already instrumental in producing rare earth oxides.
Moreover, Energy Fuels is also progressing on the construction of a facility designed for large-scale production of heavy rare earth oxides, which are crucial for developing advanced materials used in various sectors, including automotive, robotics, and energy.
In a separate but related initiative, Energy Fuels has entered discussions to acquire Vacuumschmelze (VAC), a permanent magnet manufacturer. If finalized, this acquisition would enhance their platform, extending it further into the magnet production domain, essential for numerous technological applications.
