Sun Life and Wilton Re Forge Strong Partnership to Launch Windsor Life Re for Enhanced Asset Management

Strategic Collaboration Between Sun Life and Wilton Re

In a move set to enhance their positions in the life insurance and annuity markets, Sun Life Financial Inc. and Wilton Re have officially announced a strategic partnership. This groundbreaking collaboration aims to leverage both companies' strengths in life and annuity reinsurance as well as asset management. The partnership will usher in the establishment of a new reinsurer known as Windsor Life Re, which will be headquartered in the U.S. and Bermuda.

The Formation of Windsor Life Re

Windsor Life Re will operate as an affiliated reinsurer supported by long-term strategic capital investments from both Sun Life and Wilton Re. The collaboration is expected to deploy around $900 million in capital, with both firms contributing approximately one-third of the total equity. This new entity will begin by reinsuring an initial in-force block valued at about $1.7 billion from Wilton Re. It is anticipated that Windsor Life Re's assets could grow to approximately $10 billion as business scales up in the near future.

Wilton Re will manage Windsor Life Re, utilizing its extensive expertise in liability management, in-force block acquisitions, and unique underwriting capabilities. Concurrently, SLC Management, which serves as Sun Life's global institutional alternatives asset manager, will lead asset management efforts by administering investments for the new standalone reinsurance company. The involvement of these seasoned entities is expected to enhance the efficacy of investment strategies, focusing on insurance asset management across various sectors.

Strategic Goals and Long-term Implications

Tom Murphy, president of Sun Life Asset Management, emphasizes that this strategic partnership is a significant step toward unlocking opportunities at the intersection of insurance and asset management. He speaks highly of Wilton Re's deep-seated expertise in reinsurance and their strong financial standing, noting that the partnership will significantly bolster Sun Life's presence in global insurance asset management.

Dmitri Ponomarev, CEO of Wilton Re, also underscores the significance of the partnership. He believes that Windsor Life Re will not only support Wilton Re's strategic growth initiatives but also broaden their capital resources in the highly competitive life insurance and annuity market.

Regulatory Approvals and Future Outlook

The rollout of Windsor Life Re is expected to commence in the first half of 2027, pending the necessary regulatory approvals and standard closing conditions. The establishment of this reinsurer, complemented by the collective strengths of Sun Life and Wilton Re, positions both firms strongly for future ventures and growth opportunities.

Both companies have engaged advisors in this collaboration; Jefferies acted as financial advisor for Sun Life while Ardea Partners LP and Wells Fargo provided similar services for Wilton Re. Legal assistance has come from Sidley Austin LLP for Sun Life and Debevoise & Plimpton LLP for Wilton Re, ensuring that all aspects of this strategic alignment comply with legal frameworks.
