World Liberty Financial (WLFI) has taken a significant step into the realm of decentralized finance by announcing its plans to tokenize loan revenue interests in the newly developed Trump International Hotel & Resort located in the Maldives. This ambitious initiative comes in collaboration with DarGlobal, a prominent international real estate developer, and Securitize, a specialized platform focusing on the tokenization of real-world assets.
A Landmark Development
The Trump International Hotel & Resort, Maldives, is being developed as a luxurious and opulent destination with approximately 100 ultra-luxury beach and overwater villas. This flagship project is a collaborative effort involving The Trump Organization and is anticipated to be completed in the year 2030. The move to tokenize part of its revenue aims to attract eligible accredited investors by allowing them to gain exposure to a revenue-generating project that promises fixed yield while operating within a regulated securities framework.
Eric Trump, a co-founder of World Liberty Financial, expressed excitement about the initiative. "We built World Liberty Financial to open up decentralized finance to the world. With today's announcement, we are now extending that access to tokenized real estate. For the first time, eligible participants can be a part of an iconic property like Trump International Hotel & Resort, Maldives. Carlos Domingo, Co-Founder and CEO of Securitize, noted that real estate has historically posed challenges in terms of effective tokenization. However, he believes that this partnership is set to pave the way for scalable on-chain real estate products designed with compliance and governance at their core. Investment Structure and Compliance
The initial tokenized offering will be executed under a private placement according to Rule 506(c) of Regulation D under the Securities Act of 1933, and it will be offered exclusively to verified accredited investors. Additionally, tokens will be available to non-U.S. persons in offshore transactions as governed by Regulation S. It is important to note that these tokens will not be registered under U.S. federal or state securities laws, and they will face certain transfer restrictions.
These tokens are intended to be issued on public blockchains that meet the requisite criteria, furthering transparency and compliance in this new investment asset class. Importantly, while the Trump Organization and its affiliates may hold indirect economic interests in the project, they do not issue or promote the tokens, emphasizing the independent nature of this financial venture.
