New Appointments


The changes involve the appointment of two new external directors, Takumi Suganuma and Hirokazu Sato, effective immediately from the date of the shareholders meeting. These appointments aim to enhance corporate governance and compliance within the organization. Takumi previously worked at Deloitte Tohmatsu, focusing on accounting audits before moving to the Japan Exchange Group’s listing examination department. Notably, he played a key role at Cookpad, where he was involved in public offerings and corporate legal matters. In August 2025, he will transition to serve as a new external director for Agent Grow, where his legal expertise and corporate experience will be invaluable.

Introducing Hirokazu Sato


On the other hand, Hirokazu Sato is a special labor consultant at HR Plus, a firm that specializes in human resource consulting. Sato’s work centers on labor law compliance, providing services that include consulting on labor issues, employment regulations, IPO support, mergers and acquisitions (M&A), and international labor matters. His substantial experience in labor due diligence and post-merger integration enhances Agent Grow's compliance framework, particularly in the realms of corporate governance and industry standards. He also holds several external director roles in various listed companies, amplifying his impact on HR compliance.

Departure of Ken Nishida


Alongside these new appointments, the company will bid farewell to Ken Nishida, who has served as an external director since August 1, 2022. His resignation will take effect on August 31, 2025.
