Cerberus Capital Management to Acquire Major Goodwin plc Mechanical Engineering Assets
Cerberus Capital Management, a leading global alternative investment firm, is making significant moves by acquiring a substantial portion of the Mechanical Engineering Division of Goodwin plc for a staggering cash sum estimated at £1.1 billion. This major transaction is set to be finalized in the first quarter of 2027, contingent upon standard regulatory approvals and other customary conditions. The acquisition will include notable businesses such as Goodwin Steel Castings Limited, Goodwin International Limited, Noreva GmbH, Easat Group, and the Pump Division. Together, they provide high-integrity solutions tailored for diverse markets, focusing on aerospace, defense, nuclear energy, and mining.
The Mechanical Engineering Division is well-poised to meet the demands of important clients such as the UK, US, and Australian navies, in addition to contributing to pivotal projects like the AUKUS programme, which fortifies defense partnerships among Australia, the United Kingdom, and the United States. Post-acquisition, operations will continue from Stoke-on-Trent, the heart of these businesses, which will remain a key manufacturing hub.
Cerberus is committed to bolstering these crucial manufacturing capabilities, particularly by enhancing production capacity within the UK and supporting the AUKUS programme in a more profound manner. This strategic investment underscores Cerberus's Supply Chain strategy, aiming to improve national and economic security in Western-allied nations. The firm has already made over twenty investments across sectors like aerospace, defense, and telecommunications since launching its dedicated Supply Chain fund in 2022.
Speaking about this acquisition, Frank Bruno, CEO of Cerberus, emphasized the importance of fostering industrial strength and supply chain resilience for the benefits of allied nations. He stated, “Our long-term commitment to steward the growth and success of the Mechanical Engineering Division of Goodwin shows how important we believe investments in leading UK companies are to advancing the collective security and resilience of all Western-allied nations.” Michael Sanford, the Global Head of Private Equity at Cerberus, echoed this sentiment, asserting that the strengths represented by Goodwin’s division align perfectly with Cerberus's support strategies going forward.
As part of its initiatives, Cerberus is looking to collaborate closely with the UK Ministry of Defence to ensure these companies can respond effectively to increasing customer demands, ultimately reinforcing economic ties and defense partnerships among the US, UK, and their allied partners. This strategic acquisition not only highlights the ongoing importance of manufacturing but also positions Cerberus firmly within the critical supply chains that underpin defense capabilities at an international level.
In the financial advisory roles, UBS Investment Bank and J.P. Morgan Securities plc are guiding Cerberus, while Davis Polk Wardell LLP serves as the principal legal advisor. Founded in 1992, Cerberus has built a diverse portfolio with assets roughly amounting to $72 billion and has a proven track record in the UK and European markets.
