Duke Energy Corporation (NYSE: DUK) recently unveiled the pricing details of its public offering for a total of 35 million Equity Units, which are designed to bolster its financial position. Each of these Equity Units is priced at $50, resulting in a combined stated amount of $1.75 billion. This public offering highlights Duke Energy's commitment to maintaining robust financial health while providing investors with an opportunity for future gain.

The structure of each Equity Unit includes a Corporate Unit—which comprises a contractual obligation to purchase shares of Duke Energy's common stock, along with partial ownership interests in two series of Remarketable Senior Notes. The two senior notes are due in 2032 and 2036, respectively, both with a principal amount of $1,000 each. Notably, the offering is set to close on August 13, 2026, assuming all customary closing conditions are satisfied.

Duke Energy aims to simultaneously list these Corporate Units on The New York Stock Exchange, anticipating the trading to commence within a span of 30 days from the date of initial issuance, contingent upon approval from the exchange.

As part of the financial structure, Duke Energy will provide annual distributions at a rate of 7.75%. These will consist of interest payments from the Remarketable Senior Notes and adjustments under the associated stock purchase contracts. Under these contracts, holders must purchase a variable number of shares of the company’s common stock by August 1, 2029. The reference price for this purchase is pegged at $121.1827 per share, closely mirroring the stock's closing value on the NYSE on August 10, 2026.

The terms further specify that the minimum settlement amount under the purchase contracts is 0.3301 shares per Equity Unit (this is based on the stated amount divided by a threshold price), while the maximum settlement rate stands at 0.4126 shares, both of which are subject to certain adjustments.

To ensure the offering runs smoothly, Duke Energy has granted its underwriters an additional option to buy up to 5 million more Corporate Units (totaling an additional $250 million), specifically for addressing any over-allotments that may arise.

The anticipated net proceeds from this offering are expected to reach approximately $1.719 billion, which could potentially rise to $1.965 billion if the over-allotment option is fully exercised. These proceeds are earmarked for multiple purposes, including the redemption of existing 3.25% Junior Subordinated Debentures due in 2082 and the repayment of some of the company’s commercial paper. This strategic financial maneuver aims to maintain flexibility and strengthen the company’s balance sheet.

Duke Energy has engaged a lineup of major underwriting firms such as Barclays, BofA Securities, and Goldman Sachs to manage this offering. The issuance is being conducted under a shelf registration statement that has been approved by the U.S. Securities and Exchange Commission. It’s crucial to note that this press release is not an offer to sell securities, nor is it a solicitation to buy; offers will only be extended through formal prospectus documents.
