Vanguard Moves Ahead with Shareholder Vote for New Trustees in 2025

On November 22, 2024, Vanguard filed a proxy statement with the U.S. Securities and Exchange Commission (SEC), initiating a process aimed at electing a new Board of Trustees for its U.S.-domiciled funds. This decision plays a key role in overseeing the management of these funds, which are designed to benefit shareholders. Mark Loughridge, the Independent Chair of the Boards of Trustees, underscored the significance of appointing a robust slate of trustees, stating, "Electing a strong slate of trustees for the funds is integral to the performance and management of our funds, and, most importantly, the long-term investment success of our investors." He emphasized that the proposed trustees bring a wealth of business and investment knowledge, along with diverse experiences essential for driving value for Vanguard's shareholders.

The scheduled virtual shareholders' meeting for voting on the proposed Board is set for February 26, 2025. Shareholders can participate and cast their votes either early via online and telephone options or during the meeting itself. Vanguard has noted that the proxy materials will start circulating on or about November 27, 2024, encouraging investors to make their voices heard in this important electoral process.

In addition, Vanguard has announced the inclusion of Rebecca Patterson and Barbara Venneman as new members of its Board of Directors, effective the same date as the annual meeting. Both nominees are also on the list to serve as trustees for the funds. Patterson, boasting over 25 years of experience as a globally recognized investor and macroeconomic researcher, has previously held pivotal roles at firms including Bridgewater Associates and Bessemer Trust. Meanwhile, Venneman brings decades of experience in digital transformation, having served as the Global Head of Deloitte Digital.

Salim Ramji, Vanguard's CEO, expressed confidence in the appointment of Patterson and Venneman, noting that their extensive backgrounds in investment management and corporate leadership would provide invaluable insights for Vanguard’s committees and constituents. Ramji commented, "Rebecca and Barbara's collective experience across investment management, corporate leadership, and digital transformation will bring valuable insights to Vanguard's board and our more than 50 million investors."

The primary agenda of the trustee elections involves overseeing fund management, ensuring shareholder interests are prioritized in performance and risk management. The particular nominees for the trustees include notable figures such as Vanguard's CEO Salim Ramji and several independent trustees who have long been part of the organization. Among the nominees for election, 13 candidates have been presented, encompassing both established board members and the newcomers Patterson and Venneman.
