CTW Cayman Announces Initial Public Offering Pricing



Tokyo, Japan - August 5, 2025
CTW Cayman, a prominent game platform company, unveiled its initial public offering (IPO) price today. This significant financial event will see the offering of 2,400,000 Class A ordinary shares priced at $5.00 per share. The company anticipates commencing trading on The Nasdaq Capital Market under the ticker symbol CTW on August 6, 2025.

The initial offering is expected to generate approximately $12 million in gross proceeds before accounting for underwriting costs and related expenses. The company is also offering underwriters the option to purchase an additional 360,000 Class A shares within a 45-day window at the proposed offering price, minus any underwriting commissions.

Proceeds from the IPO will predominantly support CTW's global expansion efforts, estimated to consume around 85% of the net earnings, while the remainder is earmarked for general working capital.

CTW Cayman, through its HTML5 gaming platform, G123.jp, provides access to a variety of popular free-to-play games inspired by Japanese animations. The company has leveraged its partnerships with renowned Japanese IP holders, offering unique content coupled with extensive marketing support. In 2023, CTW was recognized as the largest anime IP-based H5 game platform globally, according to a Frost & Sullivan report.

The IPO is being conducted on a ‘firm commitment’ basis, with Kingswood Capital Partners, LLC representing the underwriters. Legal counsel for the company is provided by Gunderson Dettmer Stough Villeneuve Franklin & Hachigian, LLP, while Greenberg Traurig, LLP is serving as legal counsel to the underwriting team.

A registration statement on Form F-1 pertaining to this offering was submitted to the U.S. Securities and Exchange Commission (SEC) and received effective approval on July 30, 2025.
