Vinci Compass Finalizes Significant Acquisition


Vinci Compass Investments Ltd. has reached a pivotal milestone by completing the acquisition of a 50.1% stake in Verde Asset Management. This strategic move is expected to bolster Vinci's position as a dominant force in the asset management landscape of Latin America. The acquisition, which adds approximately R$16 billion in assets under management (AUM), will enhance Vinci's multi-strategy funds and pension plans.

Overview of the Acquisition


The acquisition was formally announced on October 6, 2025, and was structured in two significant phases. In the initial phase, Vinci Compass acquired a controlling stake through newly issued VINP Class A common shares alongside a cash component. The payment for this stake is set in two installments: one at the time of the closing of the deal and the other two years later, contingent upon meeting specific revenue targets and conditions typical of such transactions.

The subsequent phase involves an earn-out structured to be executed five years post-closing, allowing Vinci Compass to acquire the remaining 49.9% of Verde Asset Management at that time, standardly payable in new VINP Class A shares and/or cash, providing Vinci with flexibility in structuring future payments.
