BTC Digital Partners with Tianci International for Crypto Infrastructure



On September 15, 2026, BTC Digital Ltd., a Nasdaq-listed digital computing infrastructure firm (NASDAQ: BTCT), announced a strategic cooperation memorandum with Tianci International, Inc. (NASDAQ: CIIT) aimed at advancing a significant crypto computing power project. The project is targeted at around 3 megawatts (MW) and will focus on infrastructure and hosting services for cryptocurrency operations.

The memorandum, effective from September 11, 2026, establishes the framework for both companies to collaborate on this ambitious project. Tianci International plans to rollout crypto computing equipment in phases over the next twelve months. While the stated power load of approximately 3 MW is part of the planning arrangement, this does not guarantee capacity, return on investment, or definitive schedules.

BTC Digital is poised to play a crucial role by providing or coordinating essential services, encompassing site location, power management, hosting infrastructure, equipment deployment, as well as operations and maintenance support. Additionally, BTC Digital will contribute its operational expertise and industry insights throughout the project.

Conversely, Tianci International will focus on procuring equipment and securing funding necessary to ensure the project’s successful launch. They will also manage transportation logistics, insurance, and the necessary permits required to facilitate operations. The arrangement emphasizes that any operational details will be defined in later agreements based on the specifics of the deployment and equipment batches.

This partnership builds on the strategic cooperation that was previously disclosed in 2025 and strengthens the foundations for existing mining equipment hosting agreements. The memorandum delineates responsibility between the two firms, offering a clearer pathway for propelling the 3 MW project forward. Notably, the hosting agreement remains intact and is unaffected by this new memorandum.

Siguang Peng, CEO of BTC Digital Ltd., expressed confidence in the collaboration: "The parties have already established a foundation for hosting cooperation. This MOU clarifies the necessary achievements for the next phase. BTC Digital will assess specific sites, power availability, and equipment needs, and will progress through defined stages as agreements are established, using actual operational data to inform future decisions.”

Importantly, while this memorandum lays out the cooperative framework, it is non-binding. Therefore, BTC Digital is not obligated to reserve sites or energy, and Tianci International does not have a compulsive requirement to procure equipment or services immediately. The cooperation is inherently non-exclusive unless otherwise defined in future definitive agreements.

As the project develops, the two companies plan to further assess viable sites and energy resources, finalize the equipment requirements, and grant further details through formal agreements.
