BNY Announces Upcoming Redemption of Series F Preferred Shares



The Bank of New York Mellon Corporation (commonly referred to as BNY) has made a strategic announcement regarding the redemption of its financial instruments. Effective September 20, 2026, the company will be redeeming all outstanding shares of its Series F Noncumulative Perpetual Preferred Stock along with the respective depositary shares linked to these preferred shares.

Currently, the bank has approximately 10,000 Series F Preferred shares and a significant one million depositary shares available in the market. Each depositary share represents a 1/100th interest in one share of the Series F Preferred stock. This decision is part of BNY's ongoing efforts to manage its capital structure efficiently.

The redemption is set to occur on the dividend payment date of September 20, 2026 (designated as the "Redemption Date"). Following this, payments will be made to shareholders on September 21, concluding the transaction on the first business day after the redemption date (known as the "Payment Date"). Each depositary share will be redeemed at a price of $1,000, corresponding to an economical $100,000 for each preferred share. This price does not factor in any dividends that will be due at the time of payment on the Payment Date to holders of record.

After the specified Redemption Date, the Series F Preferred Stocks and their corresponding depositary shares will no longer be considered outstanding. This will also signal the cessation of any dividend accrual for these shares moving forward.

BNY has stated that the redemption process will comply with the established procedures of The Depository Trust Company (DTC), indicating that all depositary shares are held in a book-entry format through DTC. Conversations will be directed through investor brokers to facilitate the the redemption process efficiently.

Additionally, Computershare Inc. and Computershare Trust Company act as the depositary for these transactions and help oversee the redemption process.
