The transaction is backed by Andera Partners, a respected private equity fund, along with continued reinvestment from Walter Capital Partners and the management teams of both Averna and Spherea. The merger is expected to be finalized by the end of December 2025, contingent upon regulatory approvals.
Leadership Dynamics
Patrice Bélie, the CEO of Spherea, will spearhead the newly formed group as its CEO while François Rainville will remain at the helm of Averna and also take on the role of Chief Operations Officer for the combined Spherea Group. With more than 1,800 employees across 13 countries, the merged entity promises to be one of the largest independent systems integrators focusing on quality and testing across various industries, including aerospace, automotive, medical devices, consumer electronics, and energy.
