Averna and Spherea Team Up to Set New Standards in Engineering Quality and Testing

Major Consolidation in Quality Engineering and Testing

In an exciting development for the engineering sector, Averna, a globally recognized leader in quality and testing solutions, has announced a strategic merger with Spherea, a renowned provider of testing systems for mission-critical industries. This partnership not only marks a significant milestone for both companies but also sets a new global standard in systems integration for engineering quality and testing.

Strategic Overview

Averna, which has carved its niche in delivering innovative testing solutions since its establishment in 1999, is poised to elevate its market presence with this merger. Spherea, celebrated for its high-end automated testing solutions in critical sectors like aerospace and defense, will assume full ownership of Averna as part of this agreement. Through this consolidation, the two companies aim to create the world’s leading independent systems integrator dedicated to engineering quality and testing.

The transaction is backed by Andera Partners, a respected private equity fund, along with continued reinvestment from Walter Capital Partners and the management teams of both Averna and Spherea. The merger is expected to be finalized by the end of December 2025, contingent upon regulatory approvals.

Leadership Dynamics

Patrice Bélie, the CEO of Spherea, will spearhead the newly formed group as its CEO while François Rainville will remain at the helm of Averna and also take on the role of Chief Operations Officer for the combined Spherea Group. With more than 1,800 employees across 13 countries, the merged entity promises to be one of the largest independent systems integrators focusing on quality and testing across various industries, including aerospace, automotive, medical devices, consumer electronics, and energy.

“This collaboration is a natural progression stemming from our shared vision,” explained Patrice Bélie. “By combining our strengths, we are forming a leading enterprise in engineering quality and testing, characterized by agility, extensive reach, and a strong commitment to excellence.”

François Rainville echoed this sentiment, stating, “This merger represents a crucial opportunity for both organizations. Averna and Spherea complement each other perfectly in terms of technology, market presence, and capabilities. Together, we will propel innovation and provide even greater value to our clients globally.”

Continuing Operations

Following the completion of the merger, both companies will continue to operate independently while exploring the most strategic commercial and operational pathways to maximize the unique strengths and differentiating factors of each company. This operational flexibility is expected to enhance their service offerings and market penetration in diverse sectors.
