G. Willi-Food International to Withdraw from NASDAQ and Focus on TASE Trading
G. Willi-Food International Moves to Single Listing on TASE
G. Willi-Food International Ltd., a prominent name in the kosher food sector, announced plans to voluntarily delist its shares from the NASDAQ Capital Market. This transition will concentrate its trading activities on the Tel Aviv Stock Exchange (TASE), where the majority of its shares are already being traded. The company has made this decision after careful evaluation of its operations and current market conditions.
The decision comes in light of an increasingly globalized investment landscape, where investors can access securities listed on various exchanges worldwide. Willi-Food's operations are predominantly based in Israel, where the bulk of its Ordinary Shares are traded on TASE. By eliminating the dual listing structure, the company aims to concentrate its efforts on enhancing its business development while significantly reducing the overhead costs associated with maintaining a U.S. listing.
As per the company's announcement, the delisting process will commence on or about August 17, 2026, with the last day of trading on NASDAQ projected for no earlier than August 26, 2026. Following this, Willi-Food's shares will be exclusively available on TASE, solidifying its focus on the Israeli stock market.
The delisting from NASDAQ will not hinder the trading of its Ordinary Shares on TASE, and shareholders can rest assured that they will continue to have access to their investments. Willi-Food also plans to file a Form 25 with the U.S. Securities and Exchange Commission (SEC) as part of its delisting process, further indicating its intention to deregister its securities and terminate its reporting obligations with the SEC under the U.S. Exchange Act.
With this new structure, Willi-Food will operate under TASE's stringent listing regulations and Israeli Securities Law, maintaining a high standard of corporate governance. Despite the shift in its trading platform, the company's strategic goals, operational plans, and prospects for growth remain unaffected. The single listing will allow Willi-Food to streamline its focus and resources, enhancing its ability to capitalize on business opportunities in the kosher food market.
Willi-Food International Ltd. specializes in the design, import, and distribution of high-quality kosher food products, offering over 650 different items globally. The company serves more than 1,500 customers, including major supermarket chains and institutional clients, reinforcing its position as one of Israel's top food importers.
In light of this change, the company assures investors that no immediate action is required on their part. The Ordinary Shares will continue to be traded on TASE and may also be available on the U.S. Over-The-Counter (OTC) market post-delisting.
As G. Willi-Food International makes this strategic shift, it underscores its commitment to connecting with its core market and customers in Israel, ensuring that it remains responsive to the demands of the kosher food industry while also optimizing its operational efficiency.
