OceanaGold Strengthens Portfolio with Ausgold Acquisition in Australia

OceanaGold Corporation (TSX: OGC) (NYSE: OGC) has officially announced its acquisition of Ausgold Limited (ASX: AUC) in a move that is poised to bolster its standing in the global mining industry. The deal revolves around the Katanning Gold Project located in Western Australia, known for its rich mineral deposits and substantial growth potential.

In a recent press release, OceanaGold confirmed that they have entered into a definitive scheme implementation deed to secure 100% of Ausgold’s shares through a court-approved scheme of arrangement. This acquisition is particularly notable as it marks OceanaGold's first investment in Australia, expanding its operational footprint beyond the USA, New Zealand, and the Philippines.

The details of the acquisition reveal that each Ausgold shareholder will be entitled to receive 0.03365 shares of OceanaGold for every share of Ausgold they currently hold, translating to an offer value of A$1.36 per share. This totals an equity consideration of approximately A$776 million (around US$549 million). Furthermore, shareholders have the option to receive their returns in cash, subject to a maximum cash pool of A$194 million.

OceanaGold expects Ausgold shareholders to own between 6% and 8% of the company post-acquisition. The management of both companies endorses the transaction, intending to proceed with a voter initiative to encourage Ausgold shareholders to support the scheme. Gerard Bond, President and CEO of OceanaGold, expressed enthusiasm for the acquisition, highlighting the high-quality asset it adds to their portfolio. He noted that enabling development in the Katanning project aligns well with their operational strengths and growth aspirations, projecting substantial free cash flow and continued returns to shareholders.

The strategic rationale behind the acquisition is compelling, as the Katanning Gold Project presents an opportunity for high annual gold production exceeding 100,000 ounces, with a lifespan exceeding ten years. OceanaGold's strong balance sheet and forecasted free cash flow generation will facilitate funding for the development of Katanning while also advancing existing projects like the Waihi North Project.

On the other hand, Ausgold's Board, led by John Dorward, describes this transaction as a crucial step forward for their shareholders. The immediate premium offered is attractive and allows existing shareholders to maintain exposure to the growth potential of Katanning within a well-established gold producer.

OceanaGold's acquisition is not merely about immediate gains; it recognizes Ausgold's district-scale landholding across the Katanning greenstone belt, which remains largely unexplored, offering up significant long-term growth opportunities. Enhanced market liquidity and diversification through expanded operational capabilities are additional advantages for all stakeholders involved.

The timeline for this acquisition indicates a shareholder circular to be sent out in October 2026, with a special meeting to approve the scheme scheduled for late November 2026. Upon receiving necessary approvals, the scheme is projected to be successfully executed by December 2026, thus kick-starting what promises to be a transformative phase for both companies.
