BTQ Technologies Completes Acquisition of QPerfect, Enhancing Quantum Technology Capabilities

BTQ Technologies Completes Acquisition of QPerfect

On July 1, 2026, BTQ Technologies Corp. made a significant stride in its goal to enhance quantum technology capabilities by completing the acquisition of all remaining ordinary shares of QPerfect SAS. This acquisition, announced earlier this year, not only strengthens BTQ's position as a leader in quantum computing but also integrates QPerfect's groundbreaking technologies into its expanding repertoire.

QPerfect, founded in 2023 and located in Strasbourg, France, specializes in quantum software, emulation, and control systems. The company's flagship product, MIMIQ™, allows for advanced quantum algorithm development and testing in a simulated environment, thus significantly lowering the complexity involved in deploying quantum technologies.

The French Foreign Direct Investment authorities have provided the necessary regulatory approval for the acquisition, subject to certain commitments to ensure QPerfect’s operational integrity in France. These commitments emphasize the importance of maintaining QPerfect's local office and continuing its essential research and development activities, which are vital for preserving France's technological sovereignty in this critical sector.

The total purchase price for this acquisition consists of €18,592,242.83, involving both cash payments and the issuance of common shares in BTQ. Furthermore, an earnout payment structure has been established, which rewards QPerfect's performance against specific milestones post-acquisition.

Strategic Implications

The successful integration of QPerfect’s technology into BTQ's operations combines cutting-edge capabilities such as MIMIQ™, Digital Twin capabilities, and the Quantum Logical Unit (QLU™). These additions are expected to facilitate a smoother transition from classical computing infrastructures to quantum systems. BTQ’s mission, identified as “Building Trusted Quantum Technologies,” aims at enabling modern networking systems to securely incorporate quantum computing solutions while safeguarding against potential quantum threats.

As the field of quantum computing continues to mature, challenges associated with post-quantum cryptography have begun to emerge, making the need for efficient and effective standards increasingly critical. The synthesis of BTQ and QPerfect's technologies indicates that the combined entity can address these challenges more effectively, contributing substantially to the future landscape of secure communications and quantum computing's broader acceptance.

Continued Commitment to Research and Development

QPerfect has established robust ties within the European quantum research community, facilitating collaborations that enhance access to specialized talent and innovative research. This acquisition is expected to strengthen BTQ's European operations and underscore its commitment to fostering R&D in quantum computing. The partnership will also leverage the existing collaborations with universities and industrial partners to drive progress in fields related to quantum simulation and control systems.

Philippe Blot, QPerfect’s CEO, expressed his enthusiasm for joining forces with BTQ, highlighting the alignment of their goals in advancing quantum technology in tune with global needs. This partnership coincides with recent collaborative efforts between France and Canada in quantum sciences, marking a strategic alliance that could yield significant advancements in the field.

With this acquisition, BTQ Technologies not only enhances its technological stack but also reinforces its strategic presence in Europe, leveraging the capabilities of a renowned research environment that promises further innovations in quantum technologies. The future of quantum computing is here, and BTQ is strategically positioned to lead the charge into this exciting frontier.
