Apirits' Strategic Acquisition of Bunbu Joint Stock Company

In a significant move for expanding its digital business integration, Apirits has announced its resolution to fully acquire Bunbu Joint Stock Company based in Vietnam, effectively bringing the company under its umbrella as a wholly owned subsidiary. This decision was made in accordance with the company law provisions and the articles of incorporation and was formalized on August 29, 2025. After the acquisition, Bunbu's leadership will remain in place to continue guiding the company’s operations.

Reasons for the Acquisition

Apirits has established a mission to create internet services that are cherished globally since its inception in 2000. The company has been actively supporting businesses in their digital transformation journeys, considering engineer-centered digital talent as essential for sustained growth. Under its long-term vision, known as “VISION2030”, Apirits aims to foster an environment where people and businesses can continuously grow and support each other. In line with its mid-term growth strategies, the acquisition of companies in similar sectors is a prioritized move for Apirits to enhance revenue scale and know-how while attracting talent.

The acquisition marks a milestone for Bunbu, which was founded by Le Van Nghia in 2010 after his exposure to Japanese technology while studying at Keio University. Bunbu thrived with the collaboration of local Vietnamese engineers and their Japanese counterparts, establishing itself as a formidable force in the tech market, and has since expanded to a team of around 40 skilled professionals. Bunbu's long-term goal is to create a bright future that benefits both Vietnam and Japan by merging Japan's advanced technology with Vietnam's youthful passion.

Apirits foresees several benefits from the acquisition, including increased revenues, optimized costs, superior talent acquisition, enhanced quality, and broader international expansion. The merger is expected to allow for more effective operations and the synergies anticipated between the two companies could facilitate further business growth.

Future Outlook

Bunbu is projected to become a consolidated subsidiary of Apirits in the fourth quarter of January 2026. The consolidation of Bunbu's operational results into Apirits' financial statements is expected to commence in the first quarter of January 2027 while balance sheet consolidations are anticipated to begin in the fourth quarter of January 2026. It is expected that the impact of this acquisition on Apirits' consolidated financial performance for the year ending January 2026 will be minimal.
