COLUMBUS, Ohio, May 12, 2025 – In a significant move towards enhancing its strategic operations, Northwest Bancshares, Inc. has announced a leadership transition within its board of directors. This change reflects the company’s commitment to evolving its governance while gearing up for future challenges and opportunities in the banking sector.

As part of this transition, Timothy B. Fannin, who has been a board member since 2013 and served as the Non-Executive Chairman since 2022, is stepping down as Chair in anticipation of his retirement in 2026. His departure marks the end of a significant chapter for Northwest Bancshares, as he has played a pivotal role in steering the company towards its growth objectives. Fannin will be succeeded by the current Vice Chair, Timothy M. Hunter, a seasoned professional recognized for his transformative vision and extensive industry experience.

Timothy M. Hunter has been a part of the Northwest board since 2015, bringing a wealth of knowledge and proven leadership to this new role. Hunter was appointed Vice Chair in 2023 and is poised to leverage his experience effectively as Non-Executive Chairman. His appointment aligns with the firm’s strategy to enhance governance structures as it prepares for the completion of its merger with Penns Woods, expected to finalize in late July.

In a statement, Louis J. Torchio, President and CEO, expressed gratitude for Fannin's contributions, highlighting the progress made under his leadership. “The company finds itself in a markedly different position compared to when Tim first joined us. His financial expertise has been invaluable as we pursue our ambitious goal of becoming one of the Top 100 U.S. banks by asset size,” said Torchio.

Fannin, reflecting on his tenure, acknowledged that it has been an honor to serve and noted the remarkable milestones the company has achieved regarding its strategic growth plan and customer service heritage.
