The merger, backed by a consortium of investors including Andera Partners and Walter Capital Partners, is expected to finalize by the end of December 2025, subject to regulatory approvals. Within the newly formed entity, Patrice Bélie, currently the CEO of Spherea, will assume the role of CEO of the combined organization, while François Rainville will maintain his position as CEO of Averna while also stepping in as Chief Operating Officer of the Spherea group.

This strategic alliance will bring together over 1,800 employees across 13 different countries, creating one of the most significant independent testing systems integrators worldwide. The consolidated expertise will span a variety of industries including aerospace, defense, consumer electronics, medical devices, automotive, data centers, and the energy sector.
