Averna and Spherea Merger: A Game-Changer in Test and Quality Engineering Solutions

In a groundbreaking move that sets a new standard for test and quality engineering, Averna, a recognized leader in the field, has joined forces with Spherea, a renowned provider of testing systems for critical industries. Announced on December 3, 2025, this strategic consolidation allows Spherea to take complete ownership of Averna, a monumental step in their shared vision of becoming the premier systems integrator for test and quality solutions globally.

The merger, backed by a consortium of investors including Andera Partners and Walter Capital Partners, is expected to finalize by the end of December 2025, subject to regulatory approvals. Within the newly formed entity, Patrice Bélie, currently the CEO of Spherea, will assume the role of CEO of the combined organization, while François Rainville will maintain his position as CEO of Averna while also stepping in as Chief Operating Officer of the Spherea group.

This strategic alliance will bring together over 1,800 employees across 13 different countries, creating one of the most significant independent testing systems integrators worldwide. The consolidated expertise will span a variety of industries including aerospace, defense, consumer electronics, medical devices, automotive, data centers, and the energy sector.

Patrice Bélie expressed, “This collaboration is a natural extension of our aligned vision. By merging our strengths, we're establishing a robust entity in testing and quality engineering that is both agile and committed to excellence throughout.” He added that the partnership would allow for the acceleration of innovation and the delivery of even greater value to customers globally.

François Rainville echoed Bélie's sentiments, stating, “This merger presents a pivotal opportunity for both companies. Spherea and Averna complement each other perfectly regarding technology, market presence, and geographical reach. Together, we will not only push the envelope of innovation but also provide immense value to our clients, partners, and employees.”

Following the consolidation, both Averna and Spherea will continue to operate in their respective markets while also working actively to explore optimal commercial and operational synergies that leverage their unique strengths and differentiators. The merger seeks to enhance technical capabilities, accelerate time-to-market for products, and ultimately elevate the quality of solutions provided to clients.
